By accessing or using the services provided by Sycorda ("Company," "we," "us"), you agree to be bound by these Terms of Service. If you do not agree, do not use our services.
Sycorda builds AI automation systems, custom workflows, and supporting websites for businesses. This includes lead response and routing, customer support automation, proposal and document generation, CRM and data automation, and custom dashboards. The scope of work for each engagement is defined in a separate proposal or Statement of Work.
You agree to: provide accurate and complete information; grant reasonable access to the systems, tools, and data necessary for service delivery; validate automation outputs before relying on them for business decisions; make timely payments as outlined in your service agreement; and designate a point of contact for communications.
Unless otherwise stated in a service agreement: custom work product created specifically for you is assigned to you upon full payment; pre-existing tools, frameworks, prompt libraries, and methodologies remain the property of Sycorda; we retain the right to use general knowledge and techniques gained during engagements. Outputs generated by third-party AI providers (such as OpenAI, Anthropic, or Google) are subject to those providers' own terms.
Project work is billed 50% upfront before work begins and 50% on delivery. Monthly retainers are billed in advance on the 1st of each cycle. Late payments may incur interest at 1.5% per month. We reserve the right to suspend services for overdue accounts.
If a system we build does not meet the performance criteria documented in the Statement of Work (for example, hours saved per week), notify us in writing within 30 days of delivery. We'll work to fix it, and if we can't, we'll refund the build fee. The guarantee does not cover failures caused by client data quality, client infrastructure, or third-party platform changes outside our control.
AI outputs are probabilistic and may contain errors. We document in every Statement of Work what each system will and will not do. You are responsible for maintaining human oversight where regulations or business judgment require it.
Both parties agree to keep confidential any proprietary or sensitive information shared during the engagement. This obligation survives termination of the agreement.
To the maximum extent permitted by law, Sycorda's total liability for any claim arising from our services shall not exceed the fees paid by you in the twelve months preceding the claim. We are not liable for indirect, incidental, or consequential damages.
Either party may terminate a project engagement with 7 days written notice, or a monthly retainer with 15 days written notice before the next billing cycle. Upon termination, you are responsible for payment for all services rendered up to the termination date.
These Terms are governed by generally applicable principles of contract law. Any disputes will be resolved through good-faith negotiation between the parties. Formal governing law and jurisdiction terms will be updated once Sycorda is formally incorporated.
We may update these Terms from time to time. Continued use of our services after changes constitutes acceptance of the revised Terms.
